I4B – The Belgian Infrastructure Fund (the “Fund”) was incorporated on 22 February 2019 and is organized under the laws of Belgium as a société anonyme and for an unlimited period of time from the date of incorporation.
The registered office of the Fund is established at Avenue du Port, 86C B320, 1000 Brussels, Belgium.
The management of the Fund is governed by the Directive 2011/61/EU of the European Parliament and of the Council of 8 June 2011 on Alternative Investment Fund Managers and amending Directives 2003/41/EC and 2009/65/EC and Regulations (EC) n° 1060/2009 and (EU) n° 1095/2010 (the “AIFMD”) as implemented in Belgium by the Law of 19 April 2014 Law of 19 April 2014 on alternative investment funds and their managers (the “AIFM Law”)
The Fund is set up as an AIF in the sense of Article 4(1)(a) AIFMD and is governed by its Articles of Association and the Shareholders Agreement (the “Fund Documentation”).
The board of directors of the Fund has appointed Infra4Be Management SA (the "Manager" or the “AIFM”) as its external manager on 25 February 2019. The Fund and the Manager have concluded an investment management agreement on 25 February 2019. The Manager is established as société anonyme under the laws of Belgium and is registered with the Belgian Financial Services and Markets Authority (the “FSMA”) as a (sub-threshold) AIFM in the sense of Article 109 AIFM Law since 17 December 2018.
The Manager, in its capacity as AIFM, has full power and capacity to carry out the management of the Fund and can take legally binding investment management decisions on behalf of the Fund without obtaining prior approval by the board of directors of the Fund.
